Registration of conducting production and operational activities by foreign (regional) enterprises in the Chinese mainland

BUSINESS OPERATION IN CHINA BY FOREIGN ENTERPRISE

 

For the establishment, modification or cancellation of a business operation in China by foreign enterprise, the following documents are to be prepared and submitted respectively:

 

Establishment

1. Application form for business operation in China by foreign enterprise registration;

2. Approval document issued by relevant authority;

3. Certificate of incorporation of the foreign enterprise;

4. Letter of introduction by Chinese partner in the operation (not required for foreign financial institutions or insurance enterprises);

5. Project contract (not required for foreign financial institutions or insurance enterprises);

6. Bank reference of the foreign enterprise (not required for foreign financial institutions or insurance enterprises);

7. Appointment document for the person in charge signed by the chairman of board or general manager of the foreign enterprise;

8. Capital verification report (required only for foreign financial institutions or insurance enterprises);

9. Article of association and list of directors of the foreign enterprise (required only for foreign financial institutions or insurance enterprises);

10. Certificate of the domicile;

 

Modification

1. Application form for business operation in China by foreign enterprise registration;

2. Approval document issued by relevant authority and letter of introduction by Chinese partner in the operation (the letter of introduction is not required for foreign financial institutions or insurance enterprises);

3. The following documents are to be submitted if relevant registration information is to be modified:

(1) Name: certificate of the modification of name of the foreign enterprise;

(2) Domicile: certificate of the new domicile;

(3) Person in charge: dismissal document of the original person and appointment document of the new with certificate of ID;

(4) Business scope: contract on additional project(s) (not required for foreign financial institutions or insurance enterprises);

(5) Duration of operation: foreign enterprise(s) involve in mineral resources exploitation, which have started production are required to submit the letter of confirmation related to the expenses of the production;

(6) Amount of capital: capital verification report (required only for foreign financial institutions or insurance enterprises);

4. For modification(s), the business license is to be submitted; for filing, the copy of business license is to be submitted.

 

Cancellation

1. Application form for business operation in China by foreign enterprise registration;

2. Approval of cancellation by relevant authority;

3. Liquidation report (required for the foreign financial institutions or insurance enterprises, including the announcement during the liquidation period);

4. Tax clearance certificate (not required if the status of clearance can be confirmed by the registration authority by means of information share between government departments);

5. Business license;

6. Official seal.

 

Note:

Certificate(s) of incorporation of foreign enterprise are to be notarized by local authorities and verified by Chinese embassy or consulate(s) overseas before they can be used for registration in China, certificate(s) of incorporation in Hong Kong, Macau or Taiwan are to be notarized by local authorities according to relevant regulations.

If the above-mentioned documents are in a foreign language, they are to be properly translated into Chinese, and the translated version with the seal of the translator (company or other organization) is to be submitted.
