Change of registration of permanent representative offices of foreign (regional) enterprises

FOREIGN ENTERPRISE REPRESENTATIVE OFFICE

 

For the establishment, modification (filing) or cancellation of a foreign enterprise representative office, the following documents are to be prepared and submitted respectively:

 

Establishment

1. Application form forforeign enterprise representative office registration;

2. Certificate of incorporation and domicile of the foreign enterprise (in existence for at least 2 years);

3. Article of association of the foreign enterprise;

4.Power of attorney or authorization for the person to sign documents on behalf of the foreign enterprise;

5. Appointment document of the (chief) representative(s);

6. Bank reference indicating the financial credibility of the foreign enterprise issued by financial institution;

7. Resume(s)and certificate(s) of ID of the (chief) representative(s);

8. Certificate of the representative office address;

9. Approval document issued by relevant authority as required in laws, administrative regulations or the decisions by the State Council.

 

Modification(filing)

1. Application form for foreign enterprise representative office registration;

2. The following documents are to be submitted if relevant registration information is to be modified:

(1) Name: certificate of incorporation and domicile of the foreign enterprise (in existence for at least 2 years), with bankreferenceissued by financial institution;

(2) Office address: certificate of the new address;

(3) (Chief) representative(s): dismissal document of the original representative(s) and appointment document of new representative(s), with certificate(s) of ID and resume(s);

(4) Duration: certificate of incorporation and domicile of the foreign enterprise (in existence for at least 2 years), with credit referenceissued by financial institution;

(5) Name/domicile of the foreign enterprise: certificate issued by foreign registration authority indicating the modification of name/domicile of the foreign enterprise;

(6) The person to sign documents on behalf: power of attorney or authorization by the foreign enterprise;

(7) Type, capital, business scope of the foreign enterprise: certificate(s) of modification of related registration information;

3. Approval document issued by relevant authority as required in laws, administrative regulations or decisions by the State Council;

4. For modification(s), the registration certificate is to be submitted; for filing, the copy of the registration certificate; for the modification of (chief) representative(s), the certificate(s) of (chief) representative(s) are to be submitted.

 

Cancellation

1. Application form forforeign enterprise representative office registration;

2. Tax clearance certificate (not required if the status of clearance can be confirmed by the registration authority by means of information share between government departments);

3. Cancellation certificate of the Customs and the foreign currency authority;

4. Approval of relevant authority relating to the cancellation;

5. Certificate of registration and the certificate of representative(s);

 

  • Note:

All documents provided by the foreign enterprise are to be notarized by local authorities and verified by Chinese embassy or consulate(s) overseas before they can be used for registration in China;certificate(s) of incorporation in Hong Kong, Macau or Taiwan are to be notarized by local authorities according to relevant regulations.

If the above-mentioned documents are in a foreign language, they are to be properly translated into Chinese, and the translated version with the seal of the translator (company or other organization) is to be submitted.
